These Terms of Service ("Terms") govern your access to and use of the website located at wabiteacakes.com (the "Site") and your purchase of products from Wabi Tea Cakes Inc. ("Wabi Teacakes," "we," "us," or "our"), a Florida corporation operating a cottage food operation under Section 500.80, Florida Statutes. Please read these Terms carefully before using the Site or placing an order.

Made in a cottage food operation that is not subject to Florida's food safety regulations.

Our products are made in a private home kitchen that is not licensed, inspected, or regulated by the Florida Department of Agriculture and Consumer Services or any other government agency. By placing an order, you acknowledge and accept this.

1. Acceptance of terms

By accessing or using the Site, creating an account, or placing an order, you agree to be bound by these Terms and by all policies referenced herein, including our Privacy Policy, Shipping Policy, and Refund Policy. If you do not agree to these Terms, you must not use the Site or place an order. These Terms constitute a legally binding agreement between you and Wabi Tea Cakes Inc.

2. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding contract to place an order. By placing an order, you represent and warrant that you meet these requirements and that all information you provide is accurate and complete.

3. Products and ordering

Made to order. Our pineapple tea cakes and pastries are perishable, artisanal baked goods made to order. We do not maintain pre-made inventory. Production and shipment timelines are described on the applicable product page and in our Shipping Policy.

Product descriptions and appearance. We strive to describe and photograph our products accurately. However, because each item is handmade, the color, size, finish, and appearance of the product you receive may vary from images shown on the Site. Such variation is a normal characteristic of handmade goods and is not a defect.

Order acceptance. Your submission of an order is an offer to purchase. All orders are subject to our acceptance. We reserve the right, at our sole discretion, to refuse, cancel, or limit the quantity of any order for any lawful reason, including suspected fraud, ordering errors, product availability, or requests that fall outside our shipping area. If we cancel an order after payment, we will issue a refund to the original payment method.

4. Pricing and payment

All prices are stated in U.S. dollars (USD). Prices and product availability are subject to change without notice.

We make reasonable efforts to ensure pricing accuracy. In the event of a pricing or typographical error, we reserve the right to correct the error and to cancel or decline any order placed at the incorrect price, even after an order has been submitted or confirmed. If your order is canceled for this reason after payment, we will issue a full refund.

Payment is processed through Shopify Payments. By submitting payment information, you authorize us and our payment processor to charge the applicable amount to your selected payment method. We do not store your full payment card details; payment data is handled by Shopify Payments in accordance with applicable Payment Card Industry Data Security Standards (PCI DSS).

5. Allergens and dietary information

Please read this section carefully. It contains important health and safety information.

Our products are prepared in a private home kitchen that also stores and handles the nine major food allergens recognized under U.S. federal law: milk, eggs, fish, crustacean shellfish, tree nuts, peanuts, wheat, soybeans, and sesame (per the FDA FASTER Act, effective January 1, 2023).

Because we operate a single shared home kitchen, we cannot guarantee that any product is free from any allergen, even if that allergen is not listed as an ingredient. Cross-contact between allergens may occur during preparation, baking, cooling, and packaging.

Our products are NOT made in a licensed, inspected, or allergen-segregated commercial facility.

Your responsibility. You are solely responsible for reviewing the ingredient and allergen information provided for each product and for determining whether a product is suitable for you or your intended recipient. If you or a recipient has a food allergy, sensitivity, intolerance, or other dietary restriction, you should not purchase or consume our products without first consulting a qualified medical professional. By placing an order, you knowingly and voluntarily assume all risks associated with allergens and cross-contamination, and you accept full responsibility for verifying that our products are appropriate for you and your recipients.

6. Florida cottage food disclosure

Made in a cottage food operation that is not subject to Florida's food safety regulations.

Wabi Teacakes operates as a "cottage food operation" as defined in Section 500.80, Florida Statutes. This means:

  • Our products are produced and packaged in a private residence, not in a commercial facility.
  • Our operation is not licensed or permitted by the Florida Department of Agriculture and Consumer Services (FDACS) and is not subject to routine state food-safety inspection.
  • All products are prepackaged and labeled in accordance with Section 500.80(3), Florida Statutes, including the disclosure statement above.
  • We sell directly to the end consumer only. We do not sell at wholesale or for resale.

By purchasing from us, you acknowledge that you understand and accept the nature of a cottage food operation.

7. Sales tax

Our products are packaged bakery products sold for consumption off the premises and are generally exempt from Florida sales tax as food products under Section 212.08(1), Florida Statutes, and Rule 12A-1.011, Florida Administrative Code.

This treatment reflects our understanding of current Florida law and is not tax advice. We reserve the right to collect and remit sales tax if required by law, and the applicable tax (if any) will be shown at checkout.

8. Shipping and delivery

We ship and deliver within the United States only. We do not ship internationally. Orders with an international shipping address will be canceled and refunded. Because our products are perishable and made to order, please review our Shipping Policy for current information on production times, shipping methods, delivery windows, and handling.

Once a package leaves our possession and is transferred to the carrier, we are not responsible for carrier delays, mishandling, or conditions that may affect perishable goods in transit, except as provided in our Refund Policy.

9. Returns and refunds

Because our products are perishable, made-to-order food items, they generally cannot be returned. Our full policy on cancellations, refunds, damaged or defective items, and related matters is set out in our Refund Policy, which is incorporated into these Terms by reference.

10. Intellectual property

All content on the Site — including the "Wabi Teacakes" and "Wabi Tea Cakes" names, logos, trademarks, product names, text, graphics, photographs, images, and page layouts — is the property of Wabi Tea Cakes Inc. or its licensors and is protected by U.S. and international intellectual property laws. You may not copy, reproduce, republish, distribute, modify, or create derivative works from any of this content without our prior written permission.

11. Disclaimer of warranties

To the fullest extent permitted by applicable law, the Site and our products are provided on an "as is" and "as available" basis. We disclaim all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing in these Terms excludes or limits any warranty or liability that may not lawfully be excluded or limited under applicable law.

12. Limitation of liability

To the fullest extent permitted by Florida law:

  • Our total aggregate liability to you for any and all claims arising out of or relating to the Site, our products, or these Terms shall not exceed the amount you actually paid for the product(s) giving rise to the claim.
  • We shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation lost profits, loss of goodwill, or costs of substitute goods, whether based in contract, tort, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

Nothing in these Terms is intended to limit liability for personal injury caused by our products, gross negligence, willful misconduct, fraud, or any other liability that cannot be limited under Florida law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Wabi Tea Cakes Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your breach of these Terms; (b) your misuse of the Site or the products; (c) your violation of any applicable law or the rights of any third party; or (d) your provision of our products to a third party without conveying the allergen and ingredient information provided with the product. This section does not require you to indemnify us for our own negligence or willful misconduct.

14. Governing law

These Terms and any dispute arising out of or relating to them or to your use of the Site or purchase of our products are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles.

15. Dispute resolution

Good-faith negotiation first. Before initiating any legal proceeding, you agree to first contact us at support@wabiteacakes.com and attempt in good faith to resolve any dispute informally. Most concerns can be resolved quickly this way.

Forum. If a dispute cannot be resolved informally within thirty (30) days, you agree that any legal action or proceeding shall be brought exclusively in the state or federal courts located in Lake County, Florida, and you consent to the personal jurisdiction and venue of those courts.

16. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be deemed severable and will not affect the validity and enforceability of the remaining provisions.

17. Changes to these terms

We reserve the right to update or modify these Terms at any time. Changes are effective when posted to this page with a revised "Last updated" date. Your continued use of the Site or placement of an order after changes are posted constitutes your acceptance of the revised Terms.

18. Marketing claims and accuracy

We are committed to honest, accurate representations of our products, consistent with the Florida Deceptive and Unfair Trade Practices Act (Sections 501.201–501.213, Florida Statutes). Descriptive terms we use — such as "artisanal," "luxury," and "Taiwan-style" — refer to our handcrafted production methods, premium ingredients, and the traditional style of pineapple tea cake our products are inspired by; they are not guarantees of any specific outcome, health benefit, or geographic origin. If you believe any description on our Site is inaccurate, please contact us so we can promptly review and correct it.
